tonee Terms of Service

Version 2026-10-07

These Terms govern your use of tonee (the "Service"), software that assists with music production inside Ableton Live. tonee is operated by a sole proprietor registered in Israel ("we", "us"), contactable at [email protected].

By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

You represent that you are 16 years of age or older. We do not verify age, and we rely on your representation. If you are under the age of contractual capacity in your jurisdiction, you may use the Service only with the consent of a parent or guardian who agrees to these Terms on your behalf.

2. The Service, and that it is in beta

tonee is beta software. It is provided as is. Features may change, break, or be withdrawn, and the Service may be suspended or discontinued at any time. We do not promise any particular level of availability.

3. Your account

You must provide accurate information and keep your credentials secure. You are responsible for activity under your account. One account per person. Do not create accounts by automated means.

4. Acceptable use

You agree not to: circumvent usage limits or rate limits; resell, sublicense or provide the Service to third parties as a service; use the Service to produce material that infringes another person's rights; attempt to gain unauthorised access to the Service or its infrastructure; or use the Service unlawfully.

5. AI output: read this one

tonee uses AI, and AI output can be wrong. tonee does not merely advise: it makes changes to your open Ableton Live session, including creating and deleting tracks, altering devices and parameters, and editing MIDI.

  • You are responsible for saving and backing up your projects before use.
  • We do not warrant that any change is correct, appropriate, or musically or technically sound.
  • We are not liable for any loss of or damage to a project, session, recording, or other work arising from a change you accepted.
  • Undo Guard is a convenience, not a guarantee. It does not reliably reverse every change, and you must not rely on it as a substitute for your own backups.

6. Your content, and your rights in it

You keep every right you have in your music, your Ableton Live sessions, your prompts, and anything else you create. We claim no ownership.

You grant us only the narrow licence needed to operate the Service: to receive, process and transmit your content for the purpose of responding to your requests and providing the Service to you.

We do not use your content to train AI models, and neither do the providers we send it to. Chat messages and your session's structure go to our AI model provider under an API agreement whose published terms are that submitted data is not used to train or improve its models unless the customer opts in. We have not opted in. Speech transcription, spoken replies, the audio excerpt you choose to send, and the embeddings behind saved memories are processed by Google Cloud, which does not log or train on customer data unless the customer opts into its data-logging programme. We have not opted in. The providers in use at any time are named in our Privacy Policy.

7. Our rights in the Service

All rights in the Service are reserved to us. The Service, including its software, interfaces, designs and content, is licensed to you, not sold, and nothing in these Terms transfers ownership of any part of it.

We grant you a personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to use the Service solely for its intended purpose: to assist with your own music production work in Ableton Live, as an end user.

That licence does not extend to anything else. In particular, you may not:

  • use the Service for any purpose other than the one described above;
  • copy, modify, adapt, translate, or create derivative works from the software;
  • reverse engineer, decompile or disassemble it, or attempt to derive its source code or the prompts, models or techniques behind it;
  • redistribute, publish, rent, lease, lend, sell, sublicense, or otherwise make the software available to anyone else;
  • use the Service to build, train, benchmark or improve a competing product; or
  • remove or obscure any proprietary notice.

These restrictions apply except, and only to the extent that, applicable law expressly grants you a right that cannot lawfully be excluded.

This software is not open source. Any licence file, package metadata or repository setting suggesting otherwise is an error and does not grant you any rights. Third-party components distributed with the Service remain governed by their own licences, which we comply with separately and which are unaffected by this section.

8. Third parties

tonee is not affiliated with, associated with, authorised by, endorsed by, or in any way officially connected to Ableton AG. Ableton® and Push® are registered trademarks, and Live™ and Max for Live™ are trademarks, of Ableton AG.

The Service relies on third-party providers, including cloud hosting, database, email delivery and AI model providers. These are identified in our Privacy Policy.

9. Fees

The Service is free during beta. We may introduce paid tiers in future. We will publish pricing before any paid tier takes effect. You will not find out by being charged. Introducing a paid tier will not retroactively charge you for past use.

10. Ending your use, and ending ours

You may stop using the Service at any time, and you may delete your account from within the app or by request at [email protected]. Deletion removes your account and associated data as described in our Privacy Policy, subject to a short recovery window and to records we are required or permitted to retain.

We may suspend or terminate your access if you breach these Terms, if required by law, or if we discontinue the Service.

11. No warranty

To the fullest extent permitted by law, the Service is provided as is and as available, without warranties of any kind, whether express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement.

12. Limitation of liability

To the fullest extent permitted by law, we are not liable for any indirect, incidental, special, consequential or exemplary damages, nor for any loss of profits, revenue, data, projects, recordings, or goodwill, arising out of or relating to your use of the Service.

Our total aggregate liability arising out of or relating to the Service will not exceed the greater of (a) the amount you paid us for the Service in the twelve months preceding the event giving rise to the claim, or (b) one hundred (100) New Israeli Shekels.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

13. Indemnity

You agree to indemnify us against claims, losses and reasonable costs arising from your breach of these Terms, your misuse of the Service, or your infringement of another person's rights.

14. Changes to these Terms

We may update these Terms.

  • Material changes take effect no less than 30 days after we notify you, by email and by a notice in the app stating the effective date. Continued use after that date requires you to accept the updated Terms.
  • Non-material changes (corrections, clarifications) take effect when published, with an updated version stamp, and do not require re-acceptance.

15. Governing law

These Terms are governed by the laws of the State of Israel, and the competent courts of Tel Aviv-Yafo have exclusive jurisdiction.

If you are a consumer resident in the European Economic Area or the United Kingdom, nothing in this section deprives you of the protection of mandatory consumer-protection provisions of the law of your country of residence, or of your right to bring proceedings in the courts of that country.
